Terms of Use

HashKey Technology Services Pte Ltd (“HTS”) is a Major Payment
Institution licensed by the Monetary Authority of Singapore for the
provision of Digital Payment Token Services under the PS Act. HTS only
serves accredited and institutional customers in Singapore.

Risk Warning on Digital Payment Token Services

The Monetary Authority of Singapore (MAS) requires us to provide this
risk warning to you as a customer of a digital payment token (DPT)
service provider.

Before you:

(a) pay your DPT service provider any money or DPT; or

(b) pay a third party any money or DPT under an arrangement by your DPT
service provider,

you should be aware of the following.

1. Your DPT service provider is licensed by MAS to provide DPT services.
Please note that this does not mean you will be able to recover all the
money or DPTs you paid to your DPT service provider or any other third
party referred to above , if your DPT service provider’s or the third
party’s business fails.

1A. You should be aware that MAS does not supervise or regulate your DPT
service provider for the provision of unregulated services. This
includes any service of trading digital payment token derivatives such
as futures.

2. You should not transact in the DPT if you are not familiar with this
DPT. This includes how the DPT is created, and how the DPT you intend to
transact is transferred or held by your DPT service provider.

3. You should be aware that the value of DPTs may fluctuate greatly. You
should buy DPTs only if you are prepared to accept the risk of losing
all of the money you put into such tokens.

4. You should be aware that your DPT service provider, as part of its
licence to provide DPT services, may offer services related to DPTs
which are promoted as having a stable value, commonly known as
“stablecoin”.

The information set out in this Site serves as a general introduction to
HTS and its regulated activities as a DPT service provider, and is
solely for informational purposes.

The translated version of this Risk Warning Statement is provided for
convenience only, and in the in the event of any inconsistency or
discrepancy between the English version of this Risk Warning Statement
and any other translated version, the English version shall prevail.

declarations, notices, or any other pop-up made available by HTS or one
of its affiliates and/or agent through (hts.sg) and its connected
webpages, microsites and portals (collectively, the “Site) or any other
related services provided by HTS or its affiliates (collectively, the
“Services”), you agree and acknowledge that you have read and understood
the above. You further acknowledge that trading of DPTs is not suitable
for the general public and represent that you are an informed and
qualified investor who is aware of all the technological and financial
risks associated with trading of DPTs.

Acknowledgements

By accessing, using or clicking “I agree” to any of the information,
declarations, notices, services or any other pop-up made available
by Hashkey Technology Services Pte. Ltd. (“HTS”) or one of its
affiliates through (hts.sg) and its connected webpages, microsites and
portals (collectively, the “Site”) or any other related services
provided by HTS or its affiliates (collectively, the “Services”) you
agree and acknowledge that you have read, understood and accepted these
terms of use which incorporate the other terms and conditions and legal
notices that appear on this Site (collectively, the “Terms”).

HTS wholly reserves the right, at our sole discretion, to modify these
Terms at any time without notice. Any and all modifications or changes
to these Terms shall be effective immediately upon being published on
this Site. As such, your continued use of the Services acts as
acceptance of the revised Terms and you agree to be bound by the revised
Terms. If you do not agree to any modification to these Terms, please
leave this Site and cease using the Services immediately.

You are highly encouraged to review the Terms frequently to ensure you
understand the terms and conditions that apply to your access to, and
use of, this Site and the Services.

Access to the Site

HTS cannot and does not guarantee that this Site will operate in
accordance with your expectations, will be uninterrupted or error free.
All express or implied representations and warranties (whether statutory
or otherwise) in respect of this Site or Site content all are excluded,
except to the extent that their exclusion is prohibited by law.

HTS may update this Site from time to time, and we reserve the right to
modify, restrict access to or close this Site and/or its content at any
time. This includes our right, at our sole discretion, to remove any
or all of the content that you contribute to this Site.

No customer-broker relationship between you and HTS is or may be created
by your access to or use of this Site or any Site content. Unsolicited
messages to HTS through the contact forms or generic mailboxes on this
Site will not be considered confidential, may be disclosed to others,
may not receive a response, and do not create a customer-broker
relationship with HTS. The only way to become our customer is through an
agreement between you and us, after we have completed our standard
business onboarding process.

The content on this Site is for informational purposes only, is not
intended to constitute legal or other professional advice, and should
not be relied on or treated as a substitute for specific advice relevant
to particular circumstances. We make effort to ensure that the content
on this Site is accurate and correct, but no warranty or representation

We (or our partners or third parties who have granted us permission to

Property Rights or other rights of us or any third party, is not
defamatory, unreliable or misleading or otherwise objectionable and is
free of bugs, worms or viruses;

d.     not advertise or sell any goods or services to other users of
this Site; and

e.     not benefit commercially from this Site content

As you browse through this Site, you may access other websites that are
subject to different terms of use. When using these other sites, you
will be bound by the terms and conditions posted on those websites.
Links to other websites are provided for your convenience only and may
not remain current or be maintained. HTS strictly does not endorse,
recommend or approve of any information, products or services referred
to on such linked sites and we assume no responsibility for the contents
of any other website to which this Site offers links.

Liability

HTS and our affiliates and service providers, and the respective
officers, directors, employees, representatives and agents will not
assumes responsibility for any indirect, incidental, special,
consequential, exemplary damages, or damages for loss of profits
including but not limited to, damages for loss of goodwill, use, data,
or other intangible losses (even if HTS has been advised of the
possibility of such damages), whether based on contract, tort,
negligence, strict liability, or otherwise, resulting from:

a.     the use or the inability to use the functions on this Site;

b.     unauthorized access to or alteration of your transmissions or
data; or

c.     any other matter relating to the services and/or functions
involving the Site and Services.

To the fullest extent permitted by law in any jurisdiction in respect of
relevant loss or damage in respect of this Site, HTS disclaims all
liability in respect of or arising from this Site.

Governing Law and Dispute Resolution

Any dispute or claim between you and HTS arising out of or in connection
with this Site or its subject matter (whether allegedly contractual or
non-contractual disputes and claims) shall be governed by and construed
in accordance with the laws of Singapore. Users of this Site do so on
the basis that they thereby submit to the exclusive jurisdiction of the
courts of Singapore for the purpose of any such dispute or claim.

The rights and protections afforded to HTS and our affiliates and
service providers, and the respective officers, directors, employees,
representatives and agents under these Terms and elsewhere on this Site
shall be deemed to be afforded to, and enforceable also by, each entity
and/or each entity’s individual.

Prevailing Language

Translated versions of these Terms may be made available in languages
other than in English for convenience. The English version of these
Terms is the governing version and in the event of any inconsistency or
discrepancy between the English version of these Terms and any other
translated version, the English version shall prevail.
